PAN PRODUCTS LTD SALES CONTRACT TERMS & CONDITIONS

These sales, delivery and payment conditions herein apply to all Pan Products Ltd quotations, orders and contracts by and with us unless both parties explicitly declare in writing to agree any amendments. Any reference to the customer’s own conditions shall not incorporate such conditions into any contract.

Definitions.
‘Buyer’ means the purchaser of the goods or services. ‘Contract’ means the contract for the sale and purchase of the goods or services ‘Goods or services’ (including any instalment of the goods) are what the seller is to supply in accordance with these conditions. ‘Seller’ means Pan Products Ltd and its associated businesses. ‘Specification’ means what is referred to in the Seller’s offer or acceptance and which has been agreed between Buyer and Seller.

1. Seller may increase the price, change the freight charge or terms of payment at any time upon not less than ten days’ prior notice. Meantime the Buyer may give notice to cancel the contract or object to the increased charges. 2. Subject to (1) above the date for payment of Seller by Buyer shall be payment in full at date of delivery of the goods or completion of service. 3. Notwithstanding risk in the goods passing as in (2) above, title in the goods shall be deemed to take place i. where Seller undertakes delivery of the goods, at the point of unloading at the Buyer’s address. ii. where Buyer undertakes delivery of the goods, when the goods are loaded on Buyer’s carriage. 4. Upon delivery the goods shall be at Buyer’s risk. 5. Notwithstanding (3) and (4) above, title will not pass to Buyer until payment is received by Seller or, if earlier sale by Buyer to Buyer’s customer the time immediately prior to delivery of goods to Buyer’s customer. 6. Seller warrants that the goods sold will meet specification and when supplied will be of satisfactory quality. Any other condition or warranty as to quality or fitness for any particular purpose or under statute or otherwise is hereby excluded to the fullest extent permitted by law. Seller shall not be liable for any latent defects to the goods or their packaging or similar or for shortages unless the same are noted on the delivery. Seller shall be relieved of all liabilities to Buyer in the event that performance by Seller of this contract is delayed, prevented or otherwise not complied with by reason of or in consequence of any matter not entirely within the control of Seller. 7. Notwithstanding (6) above, in the event of unresolved disagreement between the Seller and the Buyer (the Parties) relating to the goods or services supplied by the Seller and purchased by the Buyer both parties will agree to the appointment of an independent arbitrator whose decision will be accepted by the Parties. 8. Seller does not warrant that the goods are free of infringement of any patents. 9. This contract is not transferable or assignable by Buyer. 10. This contract shall be subject to and interpreted in accordance with the Laws of England.

Definition and Limits Products and Buildings, Manufacture and Materials Products and Buildings include all those advertised, specifically described and sold by Pan Products Ltd which incorporate its patented arch support structure; these include its Arch House designs and all their derivatives which make up its product range at any time. The 5 year guarantee : The products listed within this publication are subject to a 5 year guarantee against defects proved to be the result of faulty manufacture or defective materials unless otherwise stated.
